Petrolhead Derby

Sponsor: Petrol Head Motor Company LLC, a Florida limited liability company, Fort Lauderdale, Florida ("PHM").

PHM is conducting a Petrolhead Derby (the "Sweepstakes") as a game promotion under Florida Statute §849.094 in connection with the promotion of its online auction marketplace for cars, motorcycles, and automotive collectibles. This is a commercial sweepstakes conducted by a for-profit entity. It is not a charitable raffle. By participating, you agree to be bound by these Terms and Conditions ("T&Cs") in their entirety.

To be eligible you must:

• Be a legal resident of the United States at the time of entry
• Be at least 18 years of age at the time of entry
• Have a valid, verified Petrol Head Motor account with a confirmed email address
• Not be an employee, officer, director, contractor, or immediate family member of PHM or any entity involved in the administration of the Sweepstakes
• Reside in a jurisdiction where participation is permitted by applicable law

No purchase is necessary to enter or win this Sweepstakes. Any eligible person who signs up for a free PHM account, sets up their watchlist, follows PHM on Instagram, and follows PHM on Facebook earns 100 points and qualifies for the Sweepstakes with one (1) entry immediately. After the PHM platform launches on July 4, 2026, additional entries may be earned through both free actions (verified referrals) and paid actions (buying or selling on the platform). A purchase is never required to enter or win. The maximum number of entries available to any participant is the same whether that maximum is reached through free actions only or through a combination of free and paid actions, as set out in Sections 5.2 and 6. A participant who never buys or sells on the platform can reach the same total number of entries as a participant who buys or sells the maximum permitted, by completing verified referrals.

The Sweepstakes opens on May 1, 2026 at 12:00 AM Eastern Time (the "Start Date") and closes on October 1, 2026 at 11:59 PM Eastern Time (the "End Date"). All entries must be received by the End Date to be eligible. The PHM platform is anticipated to launch on July 4, 2026; the post-launch actions described in Section 5.2 become available on the date of platform launch. PHM will notify all registered participants of the actual platform launch date by email and via announcements on petrolheadmotor.com.

Every 100 points = one (1) sweepstakes entry. Points have no cash value, are not transferable, and may not be redeemed for anything other than Sweepstakes entries. Only actions that can be technically verified by PHM's systems (or, for social follows, verified at winner selection) will result in points being awarded.

5.1 Pre-Launch Period - Free Actions

From the Sweepstakes Start Date (May 1, 2026) through the date the PHM platform launches, the following four (4) free actions are available to every participant:

• Sign up for a free PHM account - 25 points
• Set up your watchlist - 25 points
• Follow PHM on Instagram - 25 points (honour system, verified at winner selection)
• Follow PHM on Facebook - 25 points (honour system, verified at winner selection)

Completing all four actions earns 100 points and qualifies a participant with one (1) entry immediately. These four actions are the baseline free entry mechanism and are available to every eligible participant from the moment the Sweepstakes opens.

5.2 Post-Launch Period - Additional Free and Paid Actions

From the date the PHM platform launches (anticipated July 4, 2026) through the End Date (October 1, 2026), participants may earn additional points and additional entries through the following verified actions. PHM will notify all registered participants of the actual platform launch date by email and through announcements on petrolheadmotor.com.

• Refer a verified friend - 100 points per verified referral, maximum 20 referrals (up to 20 additional entries). Free path; see Section 12 for verification requirements.
• Complete a purchase as a buyer - 200 points per completed purchase, maximum 5 purchases (up to 10 additional entries).
• Complete a sale as a seller - 200 points per completed sale, maximum 5 sales (up to 10 additional entries).

These post-launch actions are optional. They are not required to qualify and do not affect any participant's baseline entry. Verified referrals earn 100 points each (one entry) and purchases or sales each earn 200 points (two entries), but the per-participant caps are set so that the maximum number of additional entries available through verified referrals (up to 20) equals the combined maximum number of additional entries available through purchases and sales (up to 10 + 10 = 20). A participant who never buys or sells may therefore reach the same total number of entries as a participant who buys or sells the maximum permitted, by completing the maximum number of verified referrals.

Every 100 points = one (1) sweepstakes entry. The minimum required to qualify is 100 points (one entry), achievable through the four free pre-launch actions in Section 5.1. After platform launch, participants may earn additional entries as described in Section 5.2. The per-participant maximum is twenty-one (21) entries (one (1) pre-launch baseline plus up to twenty (20) post-launch additional). A participant who never makes a purchase or sale on the platform has access to exactly the same maximum number of entries as a participant who does, through the verified-referral path described in Section 5.2 and Section 12. The total number of entries a participant holds at the close of the Sweepstakes determines that participant's probability of winning; the path by which those entries were earned (free or paid) does not.

7.1 Prize 1 - 1976 Yamaha XS750

One (1) 1976 Yamaha XS750 motorcycle. ARV: approximately $3,000 USD. The motorcycle is awarded as-is, where-is, in its current condition, with no warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. The motorcycle will be made available for collection at PHM's designated location in Fort Lauderdale, Florida. The winner may either (a) collect the motorcycle in person at that location, or (b) arrange for a third-party shipping or transport provider of the winner's choice to collect the motorcycle on the winner's behalf. PHM will use reasonable efforts to assist with the handover, including making the motorcycle ready for collection on a mutually agreed date, providing reasonable access for the winner or the winner's chosen carrier, and supplying the documentation needed to release the motorcycle. PHM will not, however, pay for or organise shipping, freight, transportation, delivery, crating, or insurance in transit, and any costs associated with collection or transport of the motorcycle are the sole responsibility of the winner. The winner must take possession of the motorcycle, or arrange for collection by their chosen carrier, within thirty (30) days of being notified that the prize is ready for collection, unless a longer period is agreed in writing with PHM. Title transfer, registration, taxes, insurance, and any related fees are also the sole responsibility of the winner.

7.2 Total Prize Pool

Total combined ARV of all prizes: approximately $3,000 USD. This does not exceed $5,000 USD.

7.3 General Prize Conditions

• Prizes are non-transferable and have no cash alternative unless required by law
• PHM reserves the right to substitute a prize of equal or greater ARV if unavailable
• Winners are solely responsible for all applicable taxes. PHM will issue IRS Form 1099 where required
• All announced prizes will be awarded to eligible winners once the draw has taken place, consistent with Florida Statute §849.094(2)(c)

One (1) winner will be selected by random drawing from all eligible entries at the close of the Sweepstakes on October 1, 2026. The drawing will be conducted by PHM or a designated neutral third party. The winner will be awarded Prize 1 (1976 Yamaha XS750).

• Winners notified by email within 7 business days of the draw
• Winners must claim their prize within 30 days of notification or forfeit. PHM may select an alternate winner by further random draw
• PHM may require proof of identity, age, and US residency before awarding a prize
• PHM may require an affidavit of eligibility and liability release as a condition of receiving a prize
• All winning entries retained by PHM for 90 days after close of Sweepstakes per §849.094(5)

By participating, winners consent to PHM announcing their first name, last initial, and state of residence publicly. PHM may livestream, record, or post the drawing on its platform and social media channels. This does not constitute consent to broader commercial use of a winner's name or image.

Consistent with Florida Statute §849.094(2)(b), PHM will not arbitrarily disqualify entries. Disqualification requires documented evidence of:

• Fake, duplicate, or fraudulent accounts
• False, artificial, or self-referrals (see Section 12 for verification requirements)
• Fraudulent activity or tampering with the Sweepstakes
• Claiming social follow points not genuinely earned (verified at winner selection)
• Any deliberate attempt to manipulate or compromise the integrity of the Sweepstakes

PHM will retain records of all disqualification decisions and the documented basis for each. All decisions are final.

Referral points (Section 5.2) are awarded only when the referred individual: (a) signs up using the participant's unique referral link; (b) verifies their email address; (c) sets up their watchlist; and (d) remains active on the platform for at least seven (7) days from signup. All four conditions must be met within thirty (30) days of the referral link being shared. Self-referrals, duplicate accounts, and any artificial or non-genuine referral activity are prohibited and will not earn points. PHM reserves the right to audit referral activity and to disqualify any participant whose referrals do not meet these requirements.

13.1 §849.094 - Game Promotion

This Sweepstakes is conducted under Florida Statute §849.094. PHM confirms it will not predetermine or rig the winner, arbitrarily disqualify entries, fail to award prizes once the draw has taken place, publish false or misleading advertising, or require any entry fee or proof of purchase.

13.2 $5,000 Threshold

Total announced ARV of approximately $3,000 does not exceed $5,000. The FDACS filing, trust account, surety bond, and winner list certification requirements of §849.094(3)(4)(5) do not apply.

13.3 Equal Dignity / Non-Illusory Free Path

The free entry path in this Sweepstakes is immediate, genuine, and provides equal access to the maximum number of entries available under the Sweepstakes. Any eligible participant qualifies with one (1) entry on the Start Date by completing the four free actions in Section 5.1 - no purchase, payment, or platform transaction is required. After platform launch, every participant has access to the same per-participant maximum of twenty-one (21) entries, regardless of whether that maximum is reached through free actions only or through a combination of free and paid actions. Specifically, a participant who never buys or sells may reach the maximum of twenty-one (21) entries through the free pre-launch baseline plus up to twenty (20) verified referrals, while a participant who buys and sells the maximum permitted reaches the same maximum of twenty-one (21) entries through the free baseline plus up to twenty (20) entries from purchases and sales. PHM acknowledges that purchases and sales each earn 200 points (two entries) per action, while verified referrals earn 100 points (one entry) per action; this difference reflects only the per-action point value, not the per-participant entry ceiling, and does not result in a paid participant being able to obtain a greater total number of entries than a non-paid participant. A purchase is never required to enter or win. The total number of entries a participant holds at the close of the Sweepstakes determines that participant's probability of winning; the path by which those entries were earned does not.

13.4 FDUTPA

PHM acknowledges that any violation of §849.094 also constitutes a deceptive and unfair trade practice under FDUTPA, subject to civil penalties of up to $1,000 per violation. All advertising and marketing copy will accurately reflect these T&Cs.

13.5 Not a Charitable Raffle

This Sweepstakes is not conducted under §849.0935, which applies exclusively to qualifying nonprofit organizations. PHM is a for-profit Florida LLC.

PHM may modify or suspend the Sweepstakes prior to the draw due to circumstances beyond its control including technical failure, regulatory change, or force majeure. PHM will provide reasonable notice to participants. Once the draw has taken place and winners have been selected, PHM is obligated to award the announced prizes consistent with §849.094(2)(c).

To the fullest extent permitted by law, PHM shall not be liable for technical failures, lost communications, or injury arising from participation or use of a prize, except where caused by PHM's own negligence. By participating, entrants release PHM and its agents from claims arising from participation in this Sweepstakes.

These T&Cs are governed by the laws of the State of Florida. Disputes shall be subject to the exclusive jurisdiction of courts in Broward County, Florida.

Personal information collected in connection with this Sweepstakes will be handled in accordance with PHM's Privacy Policy at petrolheadmotor.com. PHM will not sell participant data to third parties.
